Everest Transportation Systems Merges with Simple Logistics in Freight Brokerage Deal



Cambridge Capital, an investment firm specializing in the supply chain sector, has announced the merger of its portfolio company, Everest Transportation Systems, with Simple Logistics, creating a combined freight brokerage platform.

Everest, known for its tech-enabled dry truckload and drayage operations, will integrate Simple Logistics’ specialized refrigerated freight services. The companies aim to scale operations, improve service offerings, and strengthen their carrier network.

The deal is part of Cambridge’s ongoing effort to grow Everest’s capabilities since its 2021 majority investment. The firm has supported Everest through technology upgrades and leadership expansion, including the appointment of Independent Board Chairman Chris Pickett, formerly of Coyote Logistics.

Simple Logistics, based in St. Charles, Illinois, brings expertise in time-sensitive refrigerated shipments. CEO Steve Spoerl, COO Jim Caine, and CFO Jeff Paul will join the Everest platform.

“This combination represents a pivotal opportunity for Simple Logistics,” Spoerl said. “We’re excited to leverage Everest’s infrastructure and tech to enhance our service and fuel future growth.”

Everest Co-Founder and CEO Jake Elperin said the merger expands the company’s ability to serve a broader customer base. At the same time, Cambridge Capital Managing Partner Ben Gordon called the deal a “highly diversified” move to capitalize on an improving freight market.

Legal advisors for the deal included McDermott Will & Emery LLP for Cambridge and Everest, and Benesch, Friedlander, Coplan & Aronoff LLP for Simple Logistics. Wintrust Financial Corporation provided additional debt financing.

The new combined entity will operate with an expanded service portfolio, offering dry van, refrigerated, intermodal, hazmat, expedited and partial truckload solutions.
